وضعیت حقوقی مسئولیت پیش قراردادی

چکیده

مسئولیت شخص در قبال اعمال منتسب به وی در مرحله پیش از انعقاد قرارداد بحث جدیدی است که امروزه توجه محافل حقوقی را به خود جلب کرده است. مطابق این تئوری آزادی شخص در انعقاد قرارداد به معنای آزادی شخص در بی‌توجهی به حقوق و منافع طرف مذاکره نیست و شخص ممکن است با تحقق شرایط مسئول شناخته شود. موضوع اصلی این است که با وجود حاکمیت آزادی قراردادی در مرحله مذاکره، این مسئولیت را بر چه اساسی می‌‌توان مبتنی کرد. آیا پذیرش مسئولیت به معنای نفی آزادی شخص در انعقاد قرارداد نیست؟ این تحقیق در نظر دارد با رویکرد تطبیقی و به روش تحقیق توصیفی و تحلیلی مبانی مسئولیت پیش‌قراردادی را بررسی کند و متعاقب آن، توصیفی از ماهیت قراردادی، غیرقراردادی یا ویژه مسئولیت پیش‌قراردادی به عمل آورد. به اجمال می‌‌توان گفت مهم‌ترین مبانی مسئولیت پیش‌قراردادی می‌‌تواند نقض تعهد مذاکره منصفانه و ارتکاب تقصیر باشد و به لحاظ ماهیت، با اینکه مسئولیت پیش‌قراردادی دارای ماهیت خاص خود است، ولی در نهایت، انطباق بیشتری با مسئولیت مدنی غیرقراردادی دارد.
