کارکرد و ماهیت حقوقی عملکرد شرکت سپرده گذاری مرکزی اوراق بهادار و تسویه وجوه (سمات)

چکیده

     تسویه مؤثر و کارآمد یکی از ضروریات مدیریت حجم انبوه معاملات در بازار سرمایه است. شرکت سپرده گذاری مرکزی اوراق بهادار و تسویه وجوه (سمات) متولی امور ثبت، سپرده گذاری و تسویه در بازار بورس اوراق بهادار است. تعیین ماهیت و نقش سمات در این امور لازمۀ تشخیص حقوق و تکالیف این شرکت و هریک از طرفین معامله است که در این تحقیق مورد بررسی قرار گرفته است؛ در خصوص نقش سمات نظراتی از قبیل  «معامله­گر بودن»، «محاسبه گری صرف» و نظریه «وکالت در تسویه» مطرح شده است که هر یک از این نظریات مستلزم سازوکار اجرایی متفاوتی است. با مطالعه قوانین و مقررات حاکم بر بازار سرمایه و تطبیق آن با نظرات رایج می توان به این نتیجه رسید که سازوکار اجرایی تسویه در شرکت سپرده گذاری مرکزی براساس سازوکارِ «شبکه سازی تسویه الزام آور» طراحی شده است و سمات در این سازوکار ، به عنوان وکیل،  «وکالت در تسویه» معاملات را برعهده دارد.
