Comparative studies indicate that while there is no doubt regarding the validity of such clauses under the UK Sale of Goods Act 1979—which in certain cases also protects uninformed third parties acting in good faith—their acceptance in Iranian law remains controversial, particularly when the subject matter is transferred to a bona fide third party. Utilizing a descriptive-analytical method, this research posits that considering the nature of such clauses in both Iranian and English law, and based on principles such as Good Faith and the necessity of Economic Efficiency, third-party transferees acting in good faith should be protected—a stance increasingly adopted by judicial precedent. Consequently, the original owner (the conditional transferor/obligee) should only be entitled to claim the equivalent or value of the property from their immediate transferee (the obligor), rather than reclaiming the asset from the bona fide third party. عقد بیع عقدی تملیکی است، اما نگرانی از وصول ثمن، بایع را به درج شروطی از جمله شرط حفظ مالکیت یا تأخیر در آن متمایل ساخته است. مطالعۀ تطبیقی نشان می‌دهد هر چند با توجه به قانون بیع کالای انگلستان 1979 در اعتبار این شرط در حقوق این کشور تردیدی نیست، و در مواردی از ثالث ناآگاه و باحسن‌نیت، حمایت نیز شده، اما در حقوق ایران، پذیرش امکان درج چنین شرطی علی‌الخصوص هنگامی که چنین مبیعی به ثالث باحسن‌نیت انتقال یافته باشد، با مخالفت‌هایی همراه است. در این پژوهش به روش توصیفی ـ تحلیلی، بر آنیم که نظر به ماهیت شرط مزبور چه در حقوق ایران و چه در حقوق انگلیس و مبانی متعددی همچون اصل حسن‌نیت و یا ضرورت کارایی اقتصادی قواعد و احکام، چنانکه رویۀ قضایی هم به کرات بدان تمایل یافته، می‌توان در فرض وجود حسن‌نیت ثالث منتقل‌الیه، از وی حمایت نموده و مالک اولیه (ناقل مشروط له) را صرفاً محق در مطالبۀ مثل یا قیمت مال از منتقل‌الیه خویش (مشروط‌علیه) دانست. https://jlviews.ujsas.ac.ir/article_731438_0ab035d985dcd827c0bfbc40e35b148b.pdf
